1. Purpose and Acceptance
These Portal Terms govern access to and use of Finfora’s restricted Partners Portal (“Portal”). By activating or using a Portal account, you acknowledge that you have read and accepted these Terms.
2. Relationship with Partnership/Membership Agreement
These Terms govern the digital use of the Portal. The Partnership/Membership Agreement governs the substantive rights and obligations arising from membership and investment participation. If there is an inconsistency concerning investment rights, contributions, ownership, distributions, withdrawals or termination, the Partnership/Membership Agreement shall prevail to the extent of the inconsistency.
3. Partner Account
Portal access is personal to the admitted Partner to whom the account is issued. You must provide accurate information and promptly update material changes.
4. Credentials
You are responsible for maintaining the confidentiality of passwords, PINs, OTPs and other authentication credentials. You must not share credentials or permit another person to operate your account except through an expressly authorised Finfora process.
5. Partner Information
The Portal may display membership information, monthly dues, contribution records, investment allocations, transaction history, statements, distributions, notices and other information relevant to your relationship with Finfora.
6. Records and Statements
Portal records are intended to provide an accessible record of information maintained by Finfora. Where the Portal displays provisional, estimated or pending information, it will not constitute a final determination until confirmed through Finfora’s applicable reconciliation and record-keeping process.
7. Investment Information
Investment information is provided for the purposes set out in the Partnership/Membership Agreement. Historical returns, valuations, projections or performance indicators do not guarantee future results.
8. Investment Authority
The Portal does not alter the investment authority of the Lead Partners established under the Partnership/Membership Agreement. A display, notification or record on the Portal does not itself constitute an instruction to make an investment unless the Portal expressly provides an authorised investment instruction mechanism.
9. Partner Dues
Each Partner is required to pay monthly Partner dues of ₦1,000, subject to the terms set out in the Partnership/Membership Agreement and the Partner Dues & Payment Terms in this suite. Unless expressly provided otherwise, Partner dues are distinct from Investment Contributions.
10. Electronic Acceptance
Where the Portal provides a checkbox, electronic signature, OTP confirmation or similar mechanism for acceptance, the resulting record shall be treated as evidence of the Partner’s electronic acceptance.
11. Security and Suspicious Activity
Finfora may suspend or restrict Portal access where it reasonably suspects unauthorised access, fraud, security compromise, misuse, non-payment, unlawful activity or a material breach of these Terms.
12. Prohibited Use
You must not reverse engineer the Portal, interfere with its operation, access another Partner’s information, scrape data, upload malicious code, bypass security controls, use the Portal for unlawful purposes, or attempt to manipulate Portal records.
13. Availability
Finfora may perform maintenance, upgrades or security interventions that temporarily affect Portal availability. Finfora will use reasonable efforts to restore access but does not guarantee uninterrupted availability.
14. Corrections
If you identify an apparent error in your Portal records, you should notify Finfora promptly through admin@finforapartners.com. Finfora may investigate, reconcile and correct records where appropriate.
15. Termination of Access
Portal access may cease when membership ends or is suspended, subject to any continuing legal or contractual obligation to provide records or information.
16. Privacy
Personal data processed through the Portal is governed by the Portal Privacy Notice.
17. Liability
To the maximum extent permitted by law, Finfora shall not be liable for losses caused solely by internet failures, device failures, third-party infrastructure, force majeure or unauthorised access resulting from a Partner’s failure to protect credentials, except to the extent attributable to Finfora’s own breach, negligence, fraud or other non-excludable liability.
18. Governing Law
These Terms are governed by Nigerian law and are subject to the dispute-resolution provisions of the Partnership/Membership Agreement where applicable.
Electronic Communications and Electronic Records Notice
1. Electronic Communications
Finfora may communicate with Partners electronically through the Portal, email, SMS, push notification or other approved electronic channels.
2. Types of Communications
Communications may include membership notices, contribution confirmations, dues reminders, investment statements, distribution notices, meeting notices, voting materials, security alerts, policy updates, legal notices and service communications.
3. Marketing
Marketing communications, where applicable, will be treated separately from essential service and contractual communications and will include an appropriate opt-out mechanism where required.
4. Electronic Records
Electronic records maintained by Finfora may be used as evidence of transactions, notices, acknowledgements and communications.
5. Partner Contact Details
Partners are responsible for maintaining accurate email addresses and telephone numbers and ensuring that they can receive communications sent to the registered details.
6. Security
Finfora will not request passwords, OTPs or complete payment-card credentials through ordinary email. Partners should report suspicious communications through admin@finforapartners.com.
